SCCC Constitution

 

Article I Name & Purpose

 

      Section 1.      This organization shall be known as the Spring City Cycling Club, hereafter referred to as SCCC.

 

      Section 2.      The purpose of the SCCC shall be the promotion and development of bicycling for sport, fitness, recreation, transportation, and safety education.

 

      Section 3.      The SCCC shall be a not for profit organization.

 

Article II  Membership

 

      Section 1:      Active membership shall be open to all persons who participate in the sport of bicycling and will abide by the constitution of the club.

 

      Section 2.      Membership shall be on a 12 month basis.  All initial and renewal applications shall be accompanied by the dues.  Dues will be proposed by the officers and subject to approval by vote of the membership.

 

      Section 3.      The membership of any active member who violates any provision of the constitution, bylaws or rules of the SCCC may be suspended or voided by a majority vote of the officers.

 

      Section 4.       The SCCC does not discriminate in admitting members according to their race, nationality, age, sex, creed, religion, or riding capability.

 

      Section 5.      No person or organization may use the name or emblem of the SCCC in advertising or promoting without the consent of the SCCC.  Consent shall be evidenced by a majority vote of the members present at a general meeting at which the use of the name or emblem is proposed.

 

      Section 6.      Corporate membership shall be available to any business or corporation donating $30.00 or more to the club.  Advertising in the club newsletter will be provided to the membership commensurate with the donation as set by the officers and as approved by the membership in the manner of approval delineated in Article II, Section 5.

 

Article III  Duties and Responsibilities of Officers

 

      Section 1.      The government and direction of the SCCC shall be conducted by those officers duly elected under this Constitution.

 

      Section 2.      The officers shall comply with the provisions of this constitution, any ratified constitutional amendments, by-laws, and rules ratified under the provisions of their constitution by SCCC members, in conducting the business of the SCCC.  The officers shall nominate members to fill positions vacated by any officer.  The officers will maintain a written record of all meetings, available for view by SCCC members upon demand.

 

      Section 3.      Meetings of the officers shall be open to the general membership.  A majority of 2/3 of the officers must be present to constitute an officers’ quorum.  Votes by proxy are acceptable providing written authorization is presented by the representative of the absentee officer.

 

      Section 4.      The officers may designate any special committee subject to the control and direction of the officers.  Committees shall have only the powers delegated to them by the officers.

 

      Section 5.      Elections shall be held annually at the December meeting.  Only those members who have paid their dues for the year in which they would serve as an officer shall be eligible for nomination and election.  The current officers shall serve as the nominating committee for the annual elections;  however, nominations will be accepted from the membership.  Each office will be voted on separately, beginning with the President and will be filled when a nominee receives a majority vote of the members present, except for the Race Division Manager, who shall be chosen by a majority of the paid racing members only.

 

      Section 6.      The officers may be removed by the majority vote of the members.

 

      Section 7.       Duties of the Officers.

 

President-Shall preside over meetings of the SCCC and officers meetings.  The president will normally not be a voting officer; however, in the case of a tie he/she shall cast the deciding vote.

 

Vice-President-Shall be in charge of planning general meeting programs, sites and social affairs.

 

Secretary/Public Relations - Shall keep the minutes of all meetings and files of club records. The Secretary/Public Relations shall advertise activities and provide information to the news media.

 

Treasurer-Shall manage the budget and bank account as well as the club equipment inventory.

 

Newsletter Editor-Shall organize, edit, prepare for reproduction, and if necessary, publish the club newsletter.

 

Race Division Manager-Shall promote training races and coordinate information and activities for USCF races.

 

Community Affairs Officer-Shall work to improve the quality and safety level of cycling in the community.

 

Ride Captain-Shall coordinate the weekly club ride schedule.

 

Webmaster-Shall organize, edit, and maintain the club webpage on the Internet.

 

Century Director- Shall oversee the planning and organization of the annual century event. The Director will be appointed by the current officers no later than March of each year.

 

Article IV  General Meetings

 

      Section 1.      General meetings of the SCCC shall be announced in the club newsletter.  A quorum shall consist of those members who are present.

 

      Section 2.      Voting shall be conducted by a majority vote of those who are present.  Roberts’ Rules of Order should be observed in the conduct of meetings.

 

Section 3.         The SCCC shall hold a December meeting at which the election of officers shall be held.

 

      Section 4.      Minutes of the general meeting, taken and transcribed by the Secretary, shall be made available to the general membership, either by reading at the subsequent general meeting, or by publishing, on a regular basis, in the club newsletter.   Either or both methods may be used, at the discretion of the President and based upon the preference of the membership.

 

Article V  Amendments

 

      Section 1.      Any member of the SCCC may propose an amendment to the club constitution during a general meeting.

 

      Section 2.      Voting on amendments shall be deferred until the following  general meeting to enable officers to notify SCCC members of the proposed amendment.

 

      Section 3.      Ratification of proposed amendments shall require a 2/3 vote of the members present at the general meeting.

 

Article VI  Newsletter

 

      Section 1.    A newsletter shall be published for the membership.

 

      Section 2.      The newsletter and distribution expenses for the newsletter shall be financed by the SCCC.

 

      Section 3.      The Newsletter Editor and Newsletter Publisher will be required to provide proof of all publication and distribution expenses to a quorum of officers upon demand.
